The Lodi Board knowingly violates everything.  For Quatrone's contract (20% raise, $177,000 for sick days), doctrine of necessity was invoked minutes after the Resolution was adopted. 

The Board never posts a Resolution for 30 days prior to invoking.

Quatrone advised against following the rules.  The Board disregarded the rules.
